These Terms of Service ("Terms") govern your access to and use of Dragonfly's website, mobile applications, and delivery services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.
1. Services Description
Dragonfly provides an AI-powered delivery platform connecting merchants with professional drivers for white-glove catering delivery, last-mile package delivery, and meal kit distribution services nationwide.
2. User Accounts
To use certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
3. Merchant Terms
Merchants using our delivery services agree to:
- Provide accurate order details and delivery instructions
- Ensure items are properly packaged and ready for pickup
- Pay all fees as outlined in your service agreement
- Comply with all applicable food safety and business regulations
4. Driver Terms
Drivers operating on our platform acknowledge that they are independent contractors and agree to:
- Maintain a valid driver's license and appropriate insurance
- Complete deliveries professionally and on time
- Follow all traffic laws and safety protocols
- Maintain professional appearance and conduct
5. Fees and Payment
Delivery fees are displayed at the time of order. Merchants are invoiced weekly unless otherwise agreed. Payment terms are net-15 days. Late payments may incur interest charges of 1.5% per month.
6. Insurance and Liability
All deliveries include Up to $5,000,000 commercial liability coverage. This covers cargo damage and third-party claims during active deliveries. Dragonfly is not liable for:
- Food quality issues originating from the merchant
- Incorrect order details provided by merchants
- Delays caused by factors beyond our control
- Consequential or indirect damages
7. Intellectual Property
The Dragonfly name, logo, and all related marks are our trademarks. Our platform, including Gigaverse.ai technology, is protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of our Services.
8. Termination
Either party may terminate the service relationship at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, outstanding fees remain payable.
9. Disclaimer of Warranties
Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service.
10. Limitation of Liability
To the maximum extent permitted by law, Dragonfly's total liability shall not exceed the fees paid by you in the twelve months preceding any claim.
11. Governing Law
These Terms are governed by the laws of the State of Illinois. Any disputes shall be resolved in the courts of Cook County, Illinois.
12. Changes to Terms
We may modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of the modified Terms.
